Integralis Extending Portfolio with New Technology and Signing Option Agreement for an Acquisition in China
Ismaning (Germany), July 21, 2008 - Integralis AG is acquiring from US companies Neohapsis Inc. and KSR Inc. their CENTRIS™ technology platform. At the same time, it is taking over their managed service business. The CENTRIS technology will enhance the existing Integralis ISIS security platform with the addition of management services for database, web and mail servers as well as operating and other systems. As part of the transaction, all contracts with MSS customers, which have a volume in the low seven digits in US dollar terms, as well as around 20 highly qualified employees are being transferred to Integralis. Thanks to the close proximity to the existing Integralis Security Operation Center (SOC) on the US West coast, synergistic benefits are expected to be harnessed as early as in 2009.
At the same time, Integralis has signed an option agreement for the full acquisition of all of the assets of China Managed Services Inc. (CMS). CMS is currently in the process of being established and operates in the Chinese MSS market via a subsidiary. The company has already been able to sign up a major Chinese
telephone carrier as its first channel partner and is also using the CENTRIS™ technology platform. Under the terms of the agreement, Integralis has undertaken to provide CMS with follow-up finance in the form of a loan by mid 2009, at which point it may also exercise its call option to buy the company.
