NTT Communications publishes offer document for the takeover of Integralis—Acceptance period begins
NTT Communications Deutschland GmbH already has irrevocable undertakings from major shareholders including, among others, the management board and supervisory board of Integralis AG to accept the takeover offer amounting to approximately 43 percent of the Integralis share capital1. The management board and supervisory board of Integralis generally support the offer and will issue their statements regarding the offer launched by NTT Communications Deutschland GmbH after having reviewed the offer document. more...

NTT Communications announces agreed takeover offer in cash for Integralis AG
NTT Communications Corporation (NTT Com), the wholly-owned subsidiary of Nippon Telegraph and Telephone Corporation, and Integralis AG, a leading international provider of IT security services, announced today the signing of a Business Combination Agreement. As part of this agreement, NTT Com agreed to launch a voluntary public takeover offer for all outstanding shares of Integralis, offering Euro 6.75 in cash per share. more...
